Terms of Service

1. Acceptance of Terms

By accessing or using the JBV Capital LP Portal (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Platform. These Terms are supplemental to, and do not replace, the terms of your Limited Partnership Agreement, Subscription Agreement, or other Fund Documents.

2. Eligibility

The Platform is available only to: (a) current limited partners of JBV Capital funds; (b) prospective investors who have been invited to access the Platform via a tokenized subscription link; and (c) authorized personnel of JBV Capital. You must be at least 18 years of age and, for investment purposes, meet the applicable accredited investor requirements under SEC Rule 501(a) of Regulation D.

3. Account Access

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify JBV Capital immediately of any unauthorized use. JBV Capital reserves the right to suspend or terminate access at any time for suspected unauthorized use or violation of these Terms.

4. Permitted Use

You may use the Platform solely to: view your investment portfolio and capital accounts; access fund documents, K-1s, and investor communications; execute subscription agreements and investment documents; and communicate with JBV Capital regarding your investments. You may not use the Platform for any purpose not expressly authorized by these Terms.

5. Prohibited Conduct

You agree not to:

Attempt to access data belonging to other investors
Reverse-engineer, decompile, or disassemble any part of the Platform
Use automated tools (bots, scrapers, crawlers) to access the Platform
Interfere with the security, integrity, or availability of the Platform
Share your login credentials with any third party
Use the Platform to transmit harmful code, malware, or unauthorized data

6. Intellectual Property

All content, design, code, and materials on the Platform are owned by JBV Capital Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

7. Investment Disclaimers

Nothing on the Platform constitutes investment advice, a recommendation to buy or sell securities, or an offer to sell or solicitation of an offer to buy any security except as set forth in the applicable Fund Documents. All investments involve risk, including the possible loss of the entire investment. Past performance is not indicative of future results. Portfolio company valuations displayed on the Platform are estimates and may not reflect actual realizable value.

8. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your data.

9. Limitation of Liability

To the maximum extent permitted by law, JBV Capital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of data, loss of profits, or business interruption. The Platform is provided “as is” without warranty of any kind.

10. Indemnification

You agree to indemnify and hold harmless JBV Capital, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

11. Modifications

JBV Capital reserves the right to modify these Terms at any time. Material changes will be communicated via email and displayed on the Platform at least 30 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in the State of California.
